Terms of Service

1. Acceptance

By creating an account or using Stems Planner ("the Service"), you agree to these Terms. If you are using the Service on behalf of a business, you represent that you have authority to bind that business to these Terms.

2. The Service

Stems Planner provides software tools for floral studios to manage client quotes, orders, and email communications. The Service is provided "as is." We reserve the right to modify or discontinue features with reasonable notice.

3. Accounts

You are responsible for maintaining the security of your account credentials. You must notify us immediately at hello@stemsplanner.com if you suspect unauthorized access. We are not liable for losses resulting from unauthorized use of your account.

4. Subscriptions & billing

Paid subscriptions are billed monthly in advance. All fees are non-refundable except where required by law. If your payment fails, we will attempt to retry for up to 7 days before suspending access. You may cancel at any time; cancellation takes effect at the end of the current billing period.

New accounts receive a 14-day free trial with no credit card required.

5. Acceptable use

You may not use the Service to send unsolicited email (spam), violate any applicable law, or attempt to access other users' data. We reserve the right to suspend accounts that violate these rules without refund.

6. Your data

You own your data. By using the Service you grant us a limited license to store and process it solely to operate the Service on your behalf. See our Privacy Policy for details.

7. Intellectual property

The Stems Planner name, logo, and software are our intellectual property. Nothing in these Terms transfers ownership of our IP to you.

8. Limitation of liability

To the maximum extent permitted by law, Stems Planner's total liability for any claim arising from use of the Service is limited to the amount you paid us in the 3 months preceding the claim. We are not liable for indirect, incidental, or consequential damages.

9. Termination

You may delete your account at any time. We may terminate accounts that violate these Terms. Upon termination, your right to access the Service ends immediately. We will retain your data for 30 days after termination so you can export it, then permanently delete it.

10. Governing law

These Terms are governed by the laws of the United States. Any disputes shall be resolved through binding arbitration, except that either party may seek injunctive relief in court for IP violations.

11. Changes

We may update these Terms from time to time. We will notify you by email at least 14 days before material changes take effect. Continued use of the Service after changes constitutes acceptance.
